Trustee Board recommends amendments to ICE by-laws

The ICE Trustee Board has put forward amendments to the institution’s by-laws for members to vote on in a ballot this summer.

The proposed changes follow discussions with the ICE Council and a Trustee Board meeting on 28 March 2023.

The Trustee Board is responsible for all aspects of the institution, including the implementation and oversight of the ICE’s strategy, regulatory and legal compliance, and maintaining the reputation of the institution.

Members will be asked to vote in favour of the proposed amendments to the by-laws, which include:

ICE Council members’ terms of service on the Trustee Board

Currently, a council appointee member may only remain a member of the Trustee Board for so long as they remain a member of the council.

In practice this has meant that it’s impossible for an ICE Council member to be a trustee for a full three-year term.

It’s proposed that a council appointee member serves as a trustee for three years, even if their term on council expires during that period.

Holding of ordinary meetings and annual general meetings

Traditionally, the institution’s annual general meetings have been held physically at the institution’s headquarters in One Great George Street. During the Covid-19 pandemic, these meetings were held online.

To allow for greater flexibility and increased attendance by members, it’s proposed that annual general meetings and ordinary meetings may be held physically, electronically or in hybrid format.

Term of service – vice presidents

Except for the president, the terms of service for the vice presidents and other members of the Trustee Board have been harmonised.

The trustees have also used this opportunity to provide greater clarity within the by-laws, including the removal of language which isn’t gender neutral, transitional provisions, along with other minor amendments to ensure accuracy and consistency.
